Understanding SIC Codes for Property Investment Companies

A Standard Industrial Classification (SIC) code is a five-digit number used by Companies House to identify a company's main business activity. Every limited company in the UK must register with at least one SIC code, and for property investors, choosing the correct one is a crucial first step. It is the clearest way to define your company's purpose and directly impacts which lenders will consider your mortgage application.

The Primary SIC Codes for Property Investment

While there are hundreds of codes, the following are the most relevant for landlords and property investors:

  • 68209: Other letting and operating of own or leased real estate. This is the most common and widely accepted code for a buy-to-let Special Purpose Vehicle (SPV). An SPV is a company set up solely for the purpose of buying, selling, and renting property. If you intend to be a landlord and hold properties for long-term rental income, this is the code you should use. Lenders favour companies with this code because their business model is simple and easy to underwrite.
  • 68100: Buying and selling of own real estate. This code is typically used by property developers and companies that "flip" properties for a quick resale. If your business model involves trading properties for profit, this is the appropriate code. However, most buy-to-let lenders will not lend to companies with this SIC code as they are considered trading companies, which carry a higher level of risk.
  • 68320: Management of real estate on a fee or contract basis. This is for companies that act as a letting agent or property management company, managing properties on behalf of other landlords. This is not for a landlord who owns and manages their own properties.
  • 68310: Real estate agencies. This code is for businesses that source properties for investors and act as an agent on their behalf.

It is important to note that a company can have up to four SIC codes, but for an SPV, it is best to only have a single, relevant code to avoid confusion for lenders.

Why SIC Codes are Critical for Your Mortgage Application

Lenders use your company's SIC code to instantly determine its business purpose and risk profile. They are essentially categorising you before they even look at your financials.

  • SPV vs. Trading Company: The correct SIC code (typically 68209) is what defines your business as an SPV. Most limited company buy-to-let lenders will only lend to SPVs because their simple, non-trading nature makes them less of a risk. A trading company (with a code like 68100) is far more complex, with unpredictable income streams and higher business risk, which most lenders are unwilling to take on.
  • Application Rejection: If you submit a mortgage application with an incorrect SIC code, your application will likely be rejected outright. Lenders have strict criteria, and a mismatch here is a clear sign that the company is not structured for buy-to-let investment in the way they require.
  • Future Complications: Using the wrong code could also cause issues with your business bank account or with HMRC, as your stated business activity will not match what you are doing in practice.
